Terms of Service

1. Acceptance of Terms

By accessing or using Sigil-Sign ("the Service"), operated by Stage 11 Agentics ("we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

Sigil-Sign is an electronic signature platform that allows users to upload PDF documents, designate signers, collect legally binding electronic signatures, and generate auditable certificates of completion. The Service is available via a web dashboard and a programmatic API.

3. Accounts and Registration

  • You must provide accurate and complete information when creating an account.
  • You are responsible for maintaining the confidentiality of your account credentials, including API keys.
  • You are responsible for all activity that occurs under your account or organization.
  • You must promptly notify us of any unauthorized use of your account.

4. Electronic Signatures and Legal Effect

Sigil-Sign facilitates electronic signatures in accordance with the U.S. Electronic Signatures in Global and National Commerce Act (ESIGN Act) and the Uniform Electronic Transactions Act (UETA). By using the Service to sign documents:

  • You consent to conduct transactions electronically.
  • You acknowledge that electronic signatures created through the Service are intended to have the same legal effect as handwritten signatures.
  • You understand that each signing event is recorded with a timestamp, IP address, and user agent string, and that these records form an immutable, cryptographically chained audit trail.

We do not provide legal advice. You are responsible for determining whether electronic signatures are appropriate and legally sufficient for your particular documents and jurisdiction.

5. Document Handling

  • Documents you upload are stored on our infrastructure and are accessible only to authorized users within your organization and designated signers.
  • Original and signed documents are hashed using SHA-256 to ensure integrity. Documents are versioned immutably — once signed, a document version cannot be altered.
  • We do not access, review, or analyze the content of your documents except as necessary to provide the Service or comply with law.

6. API Usage

  • API keys are organization-scoped and must be kept confidential. The plaintext key is displayed only once at creation; we store only a SHA-256 hash.
  • You are responsible for all API activity conducted with your keys.
  • We may rate-limit or suspend API access if usage patterns threaten Service stability.

7. Pricing and Billing

  • Each organization receives 11 completed documents free.
  • After the free tier, completed documents are billed at $0.11 each, metered and billed through Stripe.
  • You are responsible for maintaining a valid payment method on file. If payment fails, we may restrict Service access until the balance is resolved.
  • All fees are non-refundable except as required by applicable law.

8. Acceptable Use

You agree not to use the Service to:

  • Upload, transmit, or store content that is unlawful, harmful, threatening, abusive, or otherwise objectionable.
  • Impersonate any person or entity, or falsely represent your affiliation.
  • Interfere with or disrupt the Service or its infrastructure.
  • Attempt to gain unauthorized access to any part of the Service.
  • Use the Service to send unsolicited signing requests (spam).
  • Violate any applicable law or regulation.

9. Intellectual Property

You retain all rights to the documents you upload. We claim no ownership over your content. We retain all rights to the Service, its software, branding, and documentation.

10. Webhooks and Integrations

The Service allows you to configure webhook endpoints to receive event notifications. You are responsible for the security and availability of your webhook endpoints. We sign webhook payloads using HMAC to allow you to verify authenticity.

11. Team and Organization Management

Organization owners and administrators may invite members, manage roles, and configure organization settings. You are responsible for managing access within your organization. Removing a member does not delete documents they created.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, STAGE 11 AGENTICS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM:

  • Your use of or inability to use the Service;
  • Any unauthorized access to or alteration of your documents or data;
  • Any third party's actions or content;
  • Any other matter relating to the Service.

OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

13. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

14. Indemnification

You agree to indemnify and hold harmless Stage 11 Agentics and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with your use of the Service or violation of these Terms.

15. Termination

  • You may stop using the Service at any time.
  • We may suspend or terminate your access if you violate these Terms, with or without notice.
  • Upon termination, your right to access the Service ceases. We may retain your data as necessary to comply with legal obligations or resolve disputes.

16. Modifications to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page with a revised effective date. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

17. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of laws provisions.
